Shoyer.Net Terms of Service
Last updated: September 26, 2026
Version: TOS-2026-09-26
These Terms of Service govern your use of the Shoyer.Net mobile app, website (including its profile-deletion form), administration portal, business workspaces, and related platform services (the "Service") provided by Shoyer.Net Inc. ("Shoyer.Net," "we," "us," or "our"). They explain your permitted use, responsibilities, and options if a problem arises.
Shoyer.Net provides the platform. Users purchase goods and services from the businesses using it. These Terms govern your relationship with Shoyer.Net; the relevant business's agreement governs what you purchase from that business. Mandatory consumer and other statutory rights continue to apply.
1 Your agreement with Shoyer.Net
These Terms form an agreement when they are presented to you and you accept them through the acceptance process provided for the Service. Review them and save a copy before accepting. If you do not agree, do not activate or continue a feature that requires acceptance.
If you accept on behalf of a company or other organization, you confirm that you have authority to bind it. You must also follow the rules that apply to your own use. Creating an account or accepting these Terms does not authorize you to sign a separate contract or make a purchase for someone else.
The Privacy Policy explains personal-information handling. Accepting these Terms is not blanket consent to optional marketing, device permissions, recording, transcription, or other processing that needs a separate choice.
A separately accepted written agreement between Shoyer.Net and a business may govern that business's subscription to the platform, fees, support, or data-processing arrangements. If it expressly changes a provision of these Terms for that business, it controls that subject between those parties, subject to mandatory law. It does not remove an end user's statutory rights.
2 Eligibility and account security
You must be at least 18 years old and legally able to enter the applicable agreement. Provide accurate account information and keep contact details current. Use only an account, email address, or telephone number that you are authorized to use.
Protect your device, passwords, verification codes, and sign-in credentials. Do not share credentials or allow someone to impersonate you. Notify us promptly at admin@shoyer.net if you suspect unauthorized access. You are responsible for your own authorized actions and reasonable account-security measures; this does not make you automatically responsible for every unauthorized action or remove responsibilities imposed on us by law.
Features depend on device compatibility, connectivity, your role, and the business's configuration. You are responsible for your internet, mobile-data, and carrier charges.
3 Business workspaces and transactions
A business using Shoyer.Net (a "Business") has a workspace, sometimes called a tenant. Your sign-in identity may be shared across separate Business memberships. The Business manages its customers, staff, roles, content, and services within that workspace.
The Business is responsible for its descriptions, prices, customer contracts, professional advice, delivery, bookings, refund policies, and other obligations to its customers. Shoyer.Net is not a party to a Business's customer contract solely because it supplies software, presents an invoice, or enables signing or payment. We remain responsible for our own obligations and conduct under applicable law.
Administrators must assign access carefully, keep membership and customer associations accurate, and remove access when it is no longer authorized. You must act within the permissions and authority given to you. Do not access another customer's records or use another Business's workspace without authorization.
Support conversations may be visible to other active users linked to the same customer or company account, as well as authorized Business staff. Check the intended audience before sending confidential information. Document access follows its own permissions.
4 App licence and platform ownership
Subject to these Terms, we grant you a limited, non-exclusive licence to access the Service and install and use our app on compatible devices you own or control for its intended purposes. The licence lasts while your use is authorized and is subject to applicable app-store usage rules. The app is licensed, not sold.
Shoyer.Net and its licensors retain their rights in the software, platform design, trademarks, and content they provide. You may use supported features to view, download, or share material you are authorized to access. You may not sell, sublicense, redistribute, or modify our software, remove ownership notices, or obtain source code through reverse engineering, except where applicable law or an applicable open-source licence permits it.
Third-party and open-source components retain their own licence terms. Where those terms grant additional rights, these Terms do not restrict them.
For an app obtained through Apple's App Store, Apple's Standard End User License Agreement applies where no applicable custom EULA has been supplied. An applicable store EULA and required store usage rules govern the software licence to the extent they conflict with this section. These Terms also govern use of our platform services and do not purport to replace an applicable store EULA.
5 Acceptable use
Use the Service lawfully and respect the rights of other people. You must not:
- Commit fraud, impersonate another person, misrepresent your authority, or submit a false signature or verification result.
- Threaten, harass, exploit, unlawfully discriminate against, or deliberately deceive another person.
- Upload unlawful material, malware, or content that infringes intellectual-property, privacy, confidentiality, or other rights.
- Publish private information, intimate content, or recordings without the authority and permissions required for that use.
- Send spam or unsolicited messages or use verification messages and calls to harass recipients.
- Bypass access controls, interfere with the Service, overload its infrastructure, or conduct security testing without authorization.
- Scrape, harvest, or bulk-download records, or use automated access, except through an authorized feature or with written permission.
- Evade a lawful restriction or help another person misuse an account, workspace, document, or meeting.
These restrictions do not limit rights that cannot lawfully be excluded. Report misuse or suspected security issues to admin@shoyer.net without accessing additional records or disclosing other people's information unnecessarily.
6 Your content and permission to operate the Service
You retain the ownership rights you have in material you submit, including documents, messages, images, videos, comments, and other content ("Your Content"). You must have the rights and authority needed to submit it and permit its intended use. Do not assume that possessing a file gives you permission to upload, publish, or record everyone depicted in it.
You grant Shoyer.Net a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display to authorized recipients, and make technical changes to Your Content only as reasonably necessary to provide the features you use, secure and support the Service, and comply with applicable obligations. Technical changes can include file conversion, compression, thumbnails, or adding a signature and audit evidence that you authorize through the signing workflow.
We may allow service providers to process Your Content for those purposes under the arrangements described in the Privacy Policy. This licence does not transfer ownership, permit us to change the substance of a signed agreement without authorization, or give us a general right to advertise using private documents, support messages, recordings, or your identity. Promotional use requires a separate appropriate permission.
The licence continues only for as long as reasonably needed for those purposes, including lawful retention of records described in the Privacy Policy. Removing a post or membership does not automatically withdraw rights already granted to a recipient under a separate agreement or erase copies held outside the Service.
A Business's publication or sharing settings determine the permitted audience within its workspace. Submission does not guarantee publication, continued availability, or endorsement by Shoyer.Net.
7 Privacy and device permissions
Our Privacy Policy describes the information collected, recipients, retention, and available privacy rights. A Business may provide additional notices for its own processing. Businesses must have the authority and legal basis needed for information they place in the Service.
You choose supported PDFs and images to upload; video uploads are planned. File or media access is for the content you choose to submit. It does not authorize remote control of your device or unrelated access to files, contacts, or messages. Files may contain personal information or embedded metadata; review them before uploading.
Device permissions are requested for the relevant features. You can decline or change permissions, although the affected feature may not work. Revoking a permission does not erase material already uploaded, signed, shared, or recorded. Use the privacy-request process for information already held.
8 Communications and verification
The Service can send operational email and push notifications, including verification codes, support replies, and document or booking notices. Delivery can be delayed or fail. Check the relevant record in the Service or contact the Business when timing matters; a missed notification does not by itself cancel a transaction.
SMS and voice verification are planned. When enabled, you may request a verification message or call to a number you are authorized to use for the process identified to you. The selected provider and relevant privacy information will be disclosed before collection for that feature. Carrier charges may apply.
A successful code or call verification helps confirm access to the chosen contact channel. It does not by itself establish a person's legal identity, capacity, or authority to enter a contract. You must not request repeated messages or calls to someone else's number without authorization.
Acceptance of these Terms or use of verification does not by itself authorize unrelated marketing messages or calls. Optional marketing and device-notification choices are handled separately.
9 Documents and electronic signatures
Read a document fully before signing and confirm that you are the intended signer and have authority to act. When you deliberately submit a signature through the signing workflow, you indicate your intention to sign that document in the role identified. Acceptance of these Terms alone does not sign any separate document.
The current customer-signing workflow requires a precise device location reading. Signature images, location details, timestamps, document versions, and related evidence may be retained with the signed document. Location information is embedded in the signed PDF and may be readable by recipients and people who receive a copy. Review the signing disclosure and Privacy Policy before proceeding.
The Business and the signing parties are responsible for the document's terms, appropriate signers, and any required witnesses, disclosures, or other formalities. Shoyer.Net provides the technical workflow; it does not provide legal advice, notarization, or a guarantee that every electronic signature or document is valid or enforceable in every jurisdiction.
If you do not agree to electronic signing or the required location collection, do not complete the signature. Ask the Business whether another process is available. Download an authorized copy of completed documents for your records and promptly report mistakes or suspected unauthorized signing.
10 Bookings payments and subscriptions
End users pay the Business supplying the goods or services. Shoyer.Net provides the platform and does not become the seller merely by displaying a booking, invoice, payment link, or subscription. Any platform fees that a Business pays Shoyer.Net are governed by its separate commercial agreement.
Before confirming a purchase or subscription, review the Business's identity, description, amount, currency, taxes and other charges, renewal frequency, and cancellation or refund terms. The Business is responsible for providing those details and fulfilling the transaction. Use only a payment method you are authorized to use.
Where enabled, Helcim processes payments and subscriptions under the Business's billing arrangements. Payment processing, bank approvals, or network issues can affect status. If an invoice or payment appears incorrect, contact the Business; report a platform error to us. These Terms do not waive chargeback, refund, or other rights available under applicable law.
A recurring subscription may continue until cancelled according to the agreement with the Business and applicable law. Use the available subscription-cancellation control or contact the Business if the control is unavailable or fails. Check the resulting status and retain your request or confirmation. The Business's terms and applicable law determine cancellation timing, amounts already due, and refunds; these Terms do not impose a universal no-refund rule.
Booking changes, cancellations, late arrivals, and missed appointments are handled under the terms disclosed by the Business, subject to applicable law. Contact the Business if a booking status is unclear.
Deleting a profile, uninstalling the app, stopping notifications, or leaving a Business workspace does not automatically cancel a booking, recurring subscription, or payment obligation. Complete any cancellation separately and request help if you lose access.
11 Video conferences and recordings
Third-party video conferencing, and possible recording or transcription, are planned features. Providers have not yet been selected. These provisions apply when the relevant feature becomes available; a roadmap or description is not a promise of a particular launch date or capability.
Before joining, review the identified provider's terms and privacy notice and the host's meeting information. Camera and microphone permissions let you transmit live media. Screen sharing, if offered, transmits the content you select. Use the available controls to mute, stop sharing, or leave, and avoid exposing confidential information or other people's information without authority.
The Service's recording or transcription feature will require advance notice of what is captured, its purpose, authorized recipients, and retention arrangements, with any consent required by law. The Business or person hosting the meeting must provide the required meeting-specific information and obtain any permissions for which they are responsible. Shoyer.Net remains responsible for its own obligations.
Accepting these Terms or allowing camera or microphone access is not blanket consent to recording or transcription. Do not record, transcribe, distribute, or repurpose a meeting through the Service or an external tool without the authority, notice, and consent required for that use. If you decline recording, ask the host whether an alternative is available; an alternative is not guaranteed.
Recordings and transcripts can contain errors, omit context, or identify a speaker incorrectly. Review them before relying on or sharing them. They do not by themselves replace an agreement's signing requirements. Leaving a conference does not erase information already captured. Direct deletion or correction requests to the host or our Privacy Officer, as explained in the Privacy Policy.
The Service and its meeting features are not emergency-response services. Contact local emergency services when urgent assistance is needed.
12 Third-party services and wallet passes
The Service uses external providers for functions such as hosting, sign-in, email, notifications, payment processing, diagnostics, address lookup, and wallet passes. Planned SMS, voice, and conferencing features will also use providers. Their availability, device support, terms, and privacy practices can affect the features you choose.
A Business issuing an Apple Wallet or Google Wallet pass determines the offer, entitlement, or information represented by it. Adding a pass does not create rights beyond the issuer's terms and applicable law. A saved pass, its updates, and wallet registration are separate from your ordinary app membership and notifications.
External links and third-party content are not automatically endorsed by Shoyer.Net. We do not control an independent provider's services, but this does not exclude any responsibility we have for selecting, integrating, or using a provider under applicable law.
13 Availability and changes to features
We may maintain, update, or change the Service, including to address security, compatibility, or legal requirements. Interruptions may occur. Unless a separate agreement provides otherwise, we do not promise uninterrupted availability, a particular response time, or continued support for every device or feature.
Where a change materially reduces an agreed service, we will provide notice and any rights or remedies required by the applicable agreement or law. We may need to act promptly to address an urgent security or legal issue. Save permitted copies of important documents and transaction records; the app should not be your only record of an important agreement.
Planned features described in these Terms or the Privacy Policy apply only when made available. Any additional terms that materially affect your rights will be presented before acceptance is required.
14 Restrictions suspension and complaints about content
We may restrict content or access when reasonably necessary to address a material breach of these Terms, an actual security or safety risk, unlawful content, a binding legal requirement, or unauthorized use. A Business may also manage access to its own workspace within its authority.
Where reasonable and lawful, we will explain our action and provide an opportunity to address a problem. Immediate action may be necessary in urgent circumstances or where notice would compromise security or an investigation. Measures should be proportionate to the issue. Any termination remains subject to applicable agreements and mandatory rights.
To report infringing content or appeal a Shoyer.Net restriction, email admin@shoyer.net. Identify the relevant account or content, the right or concern involved, and enough information to assess it. Do not send unnecessary sensitive material. We may request more information and will review the matter; an appeal does not automatically restore access. Complaints about a Business's own decision can also be directed to that Business.
We may preserve relevant records for a lawful investigation or dispute as described in the Privacy Policy. Handling a complaint does not give us a general right to publish a complainant's personal information.
15 Ending use and deleting a profile
During mobile onboarding, explicitly choosing Decline and delete profile for a required document removes the current business profile without an emailed verification code. A confirmation explains this consequence before deletion. The same restrictions on protected administrator or employee roles apply.
You may stop using the Service. In the mobile app, Settings → Delete profile removes your membership in the selected Business after email verification and confirmation. The website profile-deletion form offers the same membership-removal process for your Shoyer.Net Inc. business profile, as identified on the form, without requiring the app. Neither route deletes your shared sign-in identity or memberships with other Businesses. A protected administrator or employee role may first need to be reassigned.
To use the website option, complete reCAPTCHA, sign in using your existing password, Google or Apple sign-in method, request the email code, and then enter the code and explicitly confirm deletion. Opening the page, signing in or requesting a code does not itself remove your profile. See the website deletion instructions for the steps and available help. The Privacy Policy explains verification information and cookies. If the form is unavailable or you cannot complete verification, contact admin@shoyer.net.
Successful removal through either route revokes the membership's refresh tokens, disables its app device registrations and push opt-in, and removes its membership consent records. The app resets local profile state when deletion is completed in the app; the website ends its deletion session but cannot clear data stored on your phone or other devices. Removal does not immediately erase the retained device rows or all business records. Support history, signed documents and evidence, billing records, and reservations can remain, with some access links removed, as described in the Privacy Policy.
Cancel any booking or subscription separately. Retain authorized copies of documents you need before leaving a workspace. Rejoining may create a new membership and does not automatically restore earlier document or reservation access. Wallet passes already saved outside the app may need separate action.
To request broader account or personal-information deletion, follow the whole-account deletion request process or email admin@shoyer.net. You do not need to sign in, complete the website CAPTCHA or remove each business profile before sending that request. We may verify your identity and coordinate with the relevant Business. Retention and deletion remain subject to applicable rights and obligations.
Ending access does not automatically undo a signed agreement or an accrued payment obligation. Provisions that reasonably need to continue, including ownership, lawful record retention, responsibility for earlier conduct, and dispute resolution, continue to the extent applicable and lawful.
16 Service assurances and statutory rights
We will meet obligations that applicable law imposes on us. You may have rights to reasonable care, required quality, refunds, or other remedies that cannot be waived. These Terms do not exclude or reduce those rights.
Subject to those rights and any express commitment in a separate agreement, the Service is provided as available. We do not guarantee that it will be error-free, meet every requirement, prevent every security incident, or make a Business's content or services accurate or suitable. To the extent permitted by law, we exclude implied warranties that are not otherwise required to apply.
A technical verification, signature record, transcript, or notification is not a substitute for advice or independent checks appropriate to a consequential decision. These qualifications do not excuse our own breach of an applicable legal duty.
17 Responsibility and limits of liability
Each party remains responsible for its own conduct and for liability imposed by applicable law. A Business's responsibility for its customer transaction does not automatically transfer to Shoyer.Net because the transaction uses our platform.
For users acting in a business or professional capacity, and only to the extent permitted by law and subject to any separately agreed written terms, Shoyer.Net excludes liability for indirect or consequential losses, lost profits, lost business opportunities, or loss of anticipated savings arising from use of the Service. This exclusion does not apply to a consumer where prohibited and does not remove liability for losses that applicable law requires us to compensate.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury where exclusion is prohibited, or any other responsibility that cannot lawfully be excluded or limited. These Terms do not waive privacy remedies, statutory consumer guarantees, or other non-waivable rights. Any invalid restriction applies only to the extent the law permits.
18 Disputes governing law and courts
Try to resolve the concern directly
If you have a dispute with Shoyer.Net, contact admin@shoyer.net with your account email, the relevant Business or transaction, the issue, and the resolution you seek. We will make a good-faith effort to discuss and resolve the concern directly. For a dispute about a Business's goods, services, prices, refunds, or performance, contact that Business first; you may also report a platform issue to us.
This initial contact process does not prevent either party from seeking urgent relief, meeting a filing deadline, exercising a statutory cancellation or chargeback right, or contacting a regulator. It does not pause a legal limitation period unless a separate valid agreement or law provides otherwise. Mediation may be used if both parties agree.
Ontario law and Toronto courts
Subject to the mandatory rights described below, these Terms and disputes between you and Shoyer.Net concerning the Service are governed by the laws of Ontario and the federal laws of Canada applicable there. The parties submit those disputes to the exclusive jurisdiction of the courts located in Toronto, Ontario.
Mandatory consumer and local rights take priority. This choice of law and courts does not deprive a consumer of protections or access to courts that cannot be excluded under the law that applies to them. If you reside in Quebec, the Ontario-law or Toronto-court provisions do not apply to the extent prohibited by Quebec law. Consumers in other provinces or countries likewise retain any mandatory local protections and rights to bring proceedings in a competent local court.
These Terms do not require arbitration or waive participation in a class proceeding. They do not restrict a privacy or consumer complaint to a competent regulator. The dispute terms of a separate Business-customer contract must be assessed under that contract and applicable law; this section does not automatically select a court for disputes solely between you and a Business.
19 Changes to these Terms
We may propose updates to address changes in the Service or applicable requirements. We will identify the revised version and its effective date, provide notice of material changes, and obtain renewed agreement where required. A material change does not bind you merely because an updated file has been placed on a website.
If you do not accept a change that is required to continue a feature, you may stop using that feature and request help with your account or records. Any cancellation, refund, notice, or other rights required by law or an applicable agreement remain available. Changes do not retroactively remove rights relating to an existing dispute where the law prohibits that result.
20 General terms
If a provision is unenforceable, the remaining provisions continue where they can operate lawfully without it. A failure to enforce a provision on one occasion does not automatically waive enforcement later. No partnership, employment, or agency relationship is created merely by using the Service.
You may not transfer your account or contractual rights to another person without our consent, except where applicable law permits it. We may transfer this agreement as part of a business reorganization or transfer, subject to applicable law, required notice, and protection of your existing rights.
These Terms and any separately accepted terms expressly applicable to your use form the agreement on their subject matter. They do not replace the separate contract for a Business's goods or services, an applicable app-store EULA, or mandatory legal rights. Where legislation requires a document, notice, consent, or agreement in a particular language or form, that requirement applies despite these Terms.
